Acceptance of Terms

Spout LLC (referred to as “we” or “us”) provides Spout.com subject to the following Terms of Use.  Your use of the Spout.com site is subject to and governed by these Terms of Use, which may be updated by us from time to time without notice to you.

Please read these Terms of Use carefully so that you understand them and can live by them.

By using our site you irrevocably accept all of our Terms of Use and policies, including these.

Accounts
   
(a) Registration Obligations

To use our site, you must register and open an Account with us.  To open an Account, you must select an identity and password for your Account.  By opening an account with us, you promise not to: (a) select or use the identity of another person with the intent to impersonate that person; (b) use a name subject to the rights of any other person without authorization; (c) use an identity that we, in our sole discretion, deem inappropriate or offensive; or (d) breach any representation, warranty or promise made by you in this policy regarding your Account.

In consideration for your use of our site, you represent that you are of legal age to form a binding contract and are legally able to receive services under the laws of the United States.  You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by our registration form, and (b) maintain and promptly update your Account information to keep it true, accurate, current and complete.  If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your Account and refuse any and all current or future use of our site and its related services. Please keep in mind that registering an Account for certain features of our site (including the Spout Store) may require the submission of a credit card number as well as other information such as your email address or mailing address.

Your Account is personal to you, and you are responsible for it.  You are responsible for maintaining the confidentiality of your identity, password and Account, and are fully responsible for all activities that occur under your password or account.  You agree to: (a) immediately notify us of any unauthorized use of your password or Account or any other breach of security, and (b) ensure that you exit from your Account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with this provision.  It is your sole responsibility to protect your identity and password and not share your password with any other person. Accordingly, you understand and agree that you will be liable for any activity performed by any people using this site under your identity and password.

By becoming a user of our site, your Spout Badge and certain user and profile information about you will automatically be displayed, posted, and visible to all members and visitors of Spout.  Visitors will be able to search your profile.  You can change how this information is displayed though your account settings. By using our site, you consent to Spout’s display, disclosure and use of your information and Content as set forth above and you agree to use caution and care in evaluating and selecting your account settings and information before using this site and posting any information to it. You, your heirs, executors, administrators and assigns agree not to hold us liable for any and all claims, liabilities and/or damages of any kind whatsoever that arise out of or relate in any way to your interaction with others and/or with Spout through this site.
 
(b) Termination

You agree that we, in our sole discretion, may terminate your password, and/or Account, and remove and discard any Content (defined below) within our site for any or no reason, including, without limitation, the lack of use, or if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms of use or any of our other policies.  We may also, in our sole discretion and at any time, discontinue this site or any portion of it with or without notice. You agree that we may terminate your access to this site under these Terms of Use or under any other Spout policy without prior notice, and acknowledge and agree that we may immediately deactivate or delete your Account, as applicable, and all related information and files. We reserve the right to bar any further access to such files and this site. You agree that we will not be liable to you or any third-party for any termination of your Account or access to this site.

(a) Content

All information, data, text, software, music, sound, photographs, graphics, video, messages, products, services and other materials ("Content") are the sole responsibility of the person by whom the Content was posted. This means that you, and not us, are solely responsible for all Content that you upload, post, transmit or otherwise make available through or on this site. You are also solely responsible for all Content posted under your Account.  Spout does not control the Content posted on or through this site and, therefore, Spout does not guarantee the accuracy, integrity or quality of such Content. You represent and warrant that (i) you own or otherwise control all of the rights to the content that you post; that the content is accurate; (ii) use of the Content you supply does not violate this policy; (iii) the Content does not infringe any intellectual property or other rights of any third party and does not violate any applicable laws or regulation; and (iv) the Content will not cause injury to any person or entity.

Should Content be deemed illegal, Spout will cooperate with the proper authorities, including but not limited to submitting all necessary information to them.  If we determine, in our sole discretion, that any Content submitted by you is offensive or inappropriate, we may ask you to retract or modify the Content in question.  If you fail to meet our request within the time specified, then we may terminate your Account.  We have no obligation, however, to restrict or monitor Content in any way.
You may see or read things that you do not like or agree with on our site.  You understand that by using our site, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will we be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted or otherwise made available through our site. You acknowledge that we do not pre-screen Content, although we reserve the right, in our sole discretion, to refuse, move, or delete any Content.

You are solely responsible for any use or reliance on the Content, including on its accuracy, completeness, or usefulness. You acknowledge that we do not pre-screen Content, but that we and our designees shall have the right (but not the obligation) in our sole discretion to refuse or remove any Content that is available through our site. Without limiting the foregoing, we and our designees shall have the right to remove any Content that violates these Terms of Use or any other Spout policy or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content.

We do not want to receive any confidential or proprietary information from you through this site or by email. Unless otherwise agreed in writing by an authorized Spout representative, any material, information or idea you transmit to Spout by any means may be disseminated or used by Spout or its affiliates without compensation or liability to you for any purpose whatsoever, including, but not limited to, developing, manufacturing and marketing products. However, this provision does not apply to Content (as defined herein), or to personal information that is subject to our Privacy Notice.

(b) Content License

We do not claim ownership of the Content you upload, place or post through this site. You are responsible for protecting your rights in such Content and are not entitled to our help in protecting such Content.  By uploading, placing or posting Content through this site, you grant Spout LLC a perpetual, irrevocable, world-wide, royalty-free, non-exclusive and fully sublicensable license to use, distribute, reproduce, modify, adapt, translate, publicly perform, publicly display, and create derivative works from the Content (in whole or in part) and to incorporate such Content into other works in any format or medium now known or later developed, for any purpose associated with the Spout site.   You grant Spout and its affiliates and sub-licensees the right to use the name that you submit in connection with such Content, if Spout chooses.

Your Conduct

The following is a non-inclusive list of behaviors that are not permitted on the Spout site.  You agree not to:

(1) upload, post, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy (up to, but not excluding any address, email, phone number, or any other contact information without the written consent of the owner of such information), hateful, or racially, ethnically or otherwise objectionable;

(2) harm minors in any way;

(3) impersonate any person or entity, including, but not limited to, an of our members, company officials, agents, users, or falsely state or otherwise misrepresent your affiliation with a person or entity;

(4) forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the site;

(5) upload, post or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

(6) upload, post or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright, rights of privacy or publicity, or other proprietary rights of any party;

(7) upload, post, or transmit unsolicited commercial email or "spam". This includes unethical marketing, advertising, or any other practice that is in any way connected with "spam", such as (a) sending mass email to recipients who haven't requested email from you or with a fake return address, (b) promoting a site with inappropriate links, titles, descriptions, or (c) promoting your site by posting multiple submissions in public forums that are identical;

(8) upload, post or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
 
(9) interfere with or disrupt the Spout site, servers or networks connected to the site, or disobey any requirements, procedures, policies or regulations of networks connected to the site;

(10) intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;

(11) "stalk" or otherwise harass another;

(12) promote or provide instructional information about illegal activities, promote physical harm or injury against any group or individual, or promote any act of cruelty to animals. This may include, without limitation, providing instructions on how to assemble bombs, grenades and other weapons or incendiary devices;

(13) offer for sale or sell any item, good or service that (a) violates any applicable federal, state, or local law or regulation, (b) you do not have full power and authority under all relevant laws and regulations to offer and sell, including all necessary licenses and authorizations, or (c) we determine, in our sole discretion, is inappropriate for sale through our site;

(14) use the site as a forwarding service to another website;

(15) allow usage by others in such a way as to violate these Terms or any other Spout policy;

(16) take any steps to interfere with or in any manner compromise any of our security measures;

(17) use the site for fraudulent purposes;

(18) harvest or collect any information about or regarding other Account holders, including, without limitation, any personal data or information;

(19) sell, lend, lease, trade, rent, barter, sublicense, assign, transfer, or grant rights in any manner to your Account, or password, including, without limitation, on or through the use of any third party web site or service;

(20) copy the site or any portion thereof (other than as provided under United States copyright laws);

(21) remove any proprietary notices from this site;

(22) cause, permit or authorize the modification, creation of derivative works, or translation of this site without Spout’s express permission;

(23) sell, assign, rent, lease, act as a service bureau, or grant rights in the site including, without limitation, through sublicense, to any other person or entity;

(24) attempt to decompile, reverse engineer, disassemble, modify or hack this site or to defeat or overcome any encryption and/or digital rights management technology implemented by Spout with respect to this site and/or data transmitted, processed or stored by Spout or this site;

(25) use this site for any commercial purpose or for the benefit of any third party or in any manner not permitted by this policy, or otherwise exceed the scope of our services that you have signed up for (i.e., by accessing and using the tools that you do not have a right to use).

All software used on this site is the property of Spout or its software suppliers and is protected by United States and international copyright laws.

Site Access & Limited License

Subject to these Terms of Use, we grant you a limited, nontransferable license to access and make personal use of this site.  You may not download (other than page caching), modify, reproduce, or copy, the site, or any portion of it, except with express written consent of Spout. This license does not permit any resale or commercial use of this site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Spout and our affiliates without express written consent. Disputes

Any dispute relating in any way to your visit to our site or to products you purchase through Spout shall be submitted to confidential arbitration in Grand Rapids, Michigan, except that, to the extent you have in any manner violated or threatened to violate Spout’s intellectual property rights, Spout may seek injunctive or other appropriate relief in any state or federal court in the State of Michigan, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this Agreement shall be conducted under the rules then prevailing of the arbitration service of Spout’s choosing. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

Applicable Law

The laws of the State of Michigan, without regard to principles of conflict of laws, will govern these all of our policies and any dispute of any sort that might arise between you and Spout and/or our affiliates.

Please read through all of the policies posted on our site.  These policies also govern your visit to our site and are incorporated herein by reference. We reserve the right to change the site and our policies at any time.  If any one of our terms is deemed invalid, void, or unenforceable for any reason, that term shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

The purchase of products from our online store is subject to the following Terms of Purchase.  Please note, however, that all of the Spout policies apply with equal force to the purchase of products and all other Spout policies are incorporated herein.

Product Descriptions

We attempt to be as accurate as possible in describing the products we offer. However, Spout does not warrant that product descriptions or other content of this site is accurate, complete, reliable, current, or error-free. If you purchase a product offered by Spout and it is not as described, your sole remedy is to return it in unused condition.

Pricing

Except where noted otherwise, the List Price displayed for products on our website represents the full retail price listed on the product itself, suggested by the manufacturer or supplier, or estimated in accordance with standard industry practice. The List Price is a comparative price estimate and may or may not represent the prevailing price in the Spout store. For certain items that are offered as a set, the List Price may represent "open-stock" prices, which means the aggregate of the manufacturer's estimated or suggested retail price for each of the items included in the set. Where an item is offered for sale by one of our merchants, the List Price may be provided by the merchant.

With respect to items sold by Spout, we cannot confirm the price of an item until you order; however, we do NOT charge your credit card until after your order has entered the shipping process. Despite our best efforts, a small number of the items in our catalog may be mispriced. If we discover a mispricing, we will do one of the following:

•    If an item's correct price is lower than our stated price, we will charge the lower amount and ship you the item.
•    If an item's correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation.

Paying for Your Order

We accept Visa®, MasterCard®, and Discover® Card.

After you place an order using our shopping cart, we will check the information you give us for validity, such as a valid method of payment or valid shipping address. Normally, your credit card or debit card will not be charged if we reject an order, but we will process a refund if the charge has been made against your card.

Credit and debit cards are not charged for your order until we ship our goods by delivering them to the carrier (and you will be charged only for the goods we have actually shipped along with any appropriate taxes or shipping charges). However, we may preauthorize your order amount with your credit or debit card issuer at the time you place the order, which may have an effect on your available credit line. Please contact your credit card issuer for more information.

Using Gift Cards and Coupons

You may use Gift Cards for the purchase of products at the Spout store. 

You may use only one coupon per order. Coupons will not be replaced if lost or stolen and are not redeemable for cash. Each coupon is subject to expiration and will not be redeemed beyond expiration. Unless otherwise noted, coupons with a dollar value are applied to merchandise only before shipping charges or taxes. Certain promotions have minimum purchase requirements. The minimum purchase amount in such promotions is for merchandise only; Gift Card and download purchases, shipping and taxes are not included in the minimum purchase amount. If you return an item purchased with a coupon, you will be credited only the amount you paid (the price of the item, less the coupon value).

Order Acceptance/Confirmation

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell.  We reserve the right at any time after receipt of your order to accept or decline your order for any reason.

Validating Your Order

•    After you place an order using our shopping cart, we will check the information you give us for validity, by verifying your method of payment or shipping address.
•    “Payment device(s)” (such as your credit card or debit card) are not charged for your order until we ship our goods by delivering them to the carrier. You will be charged only for the goods we have actually shipped along with any appropriate taxes or shipping charges. We may preauthorize your order amount with your credit or debit card issuer at the time you place the order, which may have an effect on your available credit line. Please contact your credit card issuer for more information.
•    For digitally delivered orders, your payment device will be charged at the time that you initiate the download of the product. Please note that Gift Cards, unlike credit cards, are debited at the time an order is placed and are later re-issued if the order has been cancelled or rejected for any reason.
•    We reserve the right to reject any order you place with us, and/or to limit quantities on any order, without giving any reason. If we reject your order, we will attempt to notify you using the email address you have given us with the order. Your payment device will normally not be charged if we reject an order, but we will process a refund if the charge has been made against your card.

Return Policy

Follow these steps to return merchandise by mail:

• Contact Customer Care for a Return Authorization number.
• Ship your return using the label included with your packing slip.
• Package your return securely, using the same package it came in, if possible.

We recommend using a traceable method of shipment (for example UPS, Fed Ex, registered mail, etc.) Unless the return shipping label is being mailed to you.

We are not responsible for return items lost or damaged in transit.

All refunds and/or credits will be provided within 2 business days of our receipt of your return.

We will email you a refund confirmation once we process your return. Please allow two weeks for processing.

PLEASE NOTE: ANY ITEM RETURNED FOR ANY REASON OTHER THAN DAMAGED PRODUCT IS SUBJECT TO A 20% RESTOCK FEE ON THE PRICE OF THE ORDER.

We can only refund using the original method of payment.


Spout will NOT accept returns sent to our facility via freight collect/C.O.D.

A return authorization number must be issued by Customer Care, if a package is returned without a return authorization number a refund is not guaranteed.

Shipping

All orders placed on this site are subject to product availability.

Please allow at least 24 hours from the time you submit your order for us to begin processing it.

Generally, orders are processed for shipment once a day. Some orders, such as those placed on weekends or holidays, are not processed for shipment within 24 hours.
Spout strives to ship your order as promptly as shipping schedules and product availability permit. Generally, products are shipped within the time indicated at time of order placement, however shipping times may vary.

Address Correction

If a recipient’s address on an air bill or shipping label is incomplete, incorrect, or is a P.O. box number or P.O. box ZIP code, we may attempt to find the correct address and complete delivery. A $10 special handling fee will be assessed. Address correction is also required if the recipient phone number is omitted for a Rural Delivery (RD) address or a Star Route Assignment (SRA) address in Alaska. If we are unable to complete delivery, we are not liable for failing to meetour delivery commitment.

Order Limitations

We reserve the right to reject any order you place with us, and/or or to limit quantities on any order. If we reject your order, we are not obligated to, but will generally attempt to notify you using the e-mail address you gave us when you placed the order.

Risk of Loss

All items purchased from Spout are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon delivery to the carrier.

Broken CD/DVD Cases

While we have the highest quality control measures in place, we realize that some CD/DVD cases are damaged during transit. We are happy to send you replacement cases. Please contact us, and we will promptly replace your case.

Order Limitations

We reserve the right to reject any order you place with us, and/or or to limit quantities on any order. If we reject your order, we are not obligated to, but will generally attempt to notify you using the email address you gave us when you placed the order.

Quantities May Be Limited

We may, at our discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by the same account, credit card, and also orders which use the same billing and/or shipping address. Notification will be sent to the email and/or billing address provided should such change occur. We reserve the right to limit the quantities sold, including the right to limit or prohibit sales to dealers.

Shipping

•    All orders placed on this site are subject to product availability.
•    Please allow at least 24 hours from the time you submit your order for us to begin processing it.
•    Generally, orders are processed for shipment once a day. Some orders, such as those placed on weekends or holidays, are not processed for shipment within 24 hours.
•    We strive to ship your order as promptly as shipping schedules and product availability permit. Generally, products are shipped within the time indicated at time of order placement, however shipping times may vary.
•    All orders are F.O.B. our shipping facility. The risk of loss and title for ordered merchandise pass to you upon our delivery to the carrier.

Taxes on Purchases  

We collect and remit sales taxes when and where required by law. Your invoice indicates sales taxes where appropriate. Your local law may require you to pay additional sales, use, or value-added taxes based on your purchases from this site. Calculation and payment of such additional taxes is solely your responsibility. No sales tax is charged on the purchase of electronic Gift Cards. However, purchases paid for with an electronic Gift Card will be charged sales tax where required.

Termination of Use

We may in our sole discretion terminate your account or your purchase of products through the site at anytime. You are personally liable for any orders that you place or charges that you incur prior to termination. We reserve the right to change, suspend, or discontinue all or any aspects of this site at any time without prior notice.
